General Legal Fees and Billing Practice

JGS/LAW is the name of Jim Smeltzer’s law firm, however I am the only lawyer in the firm and I will personally be responsible for your legal matters. 


My fees for legal services are primarily computed on an hourly basis. In determining the chargeable time for a matter, I include telephone calls, meetings, preparation time, sending correspondence, receiving and reviewing correspondence, drafting documents, travel time, reviewing documents and files, research, court appearances and generally all time spent in providing legal services to you in the matter. My fee will be calculated on the basis of my regular hourly rates, however I reserve the right to charge more in appropriate cases, such as pressing circumstances, the requirement for work outside normal business hours, exceptionally successful or efficient representations or special demands on me. Records of time and/or services rendered will be included in the accounts sent to you.


At present, my time is billed at a standard rate of $400/hour.  When I was a partner of a large national law firm, my time was billed out at a rate in excess of $800/hour (when I retired from the firm over ten years ago) and when I was consulting to a national accounting firm my time was billed out at a rate in excess of $1,000/hour. I have reduced that rate to reflect my significantly reduced overheads in my own private practice and in attempt to make legal services more affordable for my clients. My hourly rate reflects seniority at the bar and is subject to change without notice (although my usual practice is to send a confirming letter).


Clients are responsible for reimbursing JGS/LAW for expenses (also called disbursements) incurred on their behalf and that are paid to third parties. These include long distance calls, postage, deliveries, travel expenses, out of office photocopying and printing, government filing and search charges and the fees of agents who conduct investigations, searches and registrations, and all other reasonable out of pocket expenses.


Fees and disbursements do not include any applicable federal, provincial or other harmonized sales taxes, or any other taxes or duties whether presently in force or imposed in the future. Any such taxes or duties shall be assumed and paid by the client without deduction from the fees and disbursements described above.


Please be aware that JGS/LAW reserves the right to tax (a specific form of arbitration provided for in provincial legislation) its invoices before a taxing officer should there ever be a dispute with respect to fees.


It is my practice to bill my clients on a regular basis, which is generally a 30-day cycle for all time outstanding and costs advanced as of the month-end preceding the statement date. Since there are sometimes delays in the accrual and posting of fees and disbursements incurred, fees and disbursements will occasionally be included in subsequent accounts.

 

My statements for services rendered will provide a breakdown of the services provided in a detailed manner. 


I do not maintain a trust account and will not accept funds on behalf of a client.


Clients are responsible for the timely payment of my statements of account. All accounts, including interim accounts, are due when rendered. If an account is not paid within 30 days, JGS/LAW reserves the right to charge interest on the outstanding balance from the date of the original invoice at the rate of 1.5% per month (18% per annum) until the overdue accounts are paid in full. If an account remains unpaid for 30 days, I reserve the right to cease acting.

Business Corporations Act (Alberta)

JGS/LAW charges the following fees for the following standard transactions under the Business Corporations Act (Alberta). These are guidelines only for typical transactions and JGS/LAW reserves the right to charge additional fees for more complex transactions or transactions required to be completed on an urgent basis. Typical disbursements are also noted. City Centre Registry Inc. is retained as a registry agent to complete filings at Corporate Registry through the CORES electronic filing system and their filing fees are noted. GST of 5% will be charged on all professional fees and City Centre charges GST of 5% on its service fees (but not on government filing fees). All fees are quoted in Canadian Dollars.

James G. Smeltzer

Jim is a  senior corporate lawyer with over 40 years of corporate and commercial law experience.  He helps clients establish their businesses and advises on corporate reorganizations, corporate governance and business contracts.  He also advises on security law matters, mergers and acquisition transactions (including take-over bids and going private transactions), share and asset acquisitions and dispositions, private and public equity and debt financings, as well as intellectual property transactions. Jim served as the head of the corporate department, Calgary managing partner and Chief Operating Partner of Bennett Jones LLP,  a prominent Canadian law firm, and as Chief Operating Officer of Deloitte Tax Law LLP, a law firm affiliated with the accounting firm of Deloitte LLP, prior to the start of JGS/LAW.
